IMPORTANT — PLEASE READ CAREFULLY: By creating an account or using the Code Compass platform, you agree to be bound by these Terms of Service and End User License Agreement ("Agreement"). If you do not agree, do not create an account or use the Service.

1. Parties and Definitions

This Agreement is entered into by and between Code Compass Corp., an Oklahoma corporation ("Company," "we," "us," or "our"), and you, the individual or entity accessing or using the Service ("User," "you," or "your").

As used in this Agreement:

• "Service" means the Code Compass web application, associated tools, reports, and any related software or content provided by the Company.
• "Building Code" means any model building code, adopted state or local code, or jurisdiction-specific amendment referenced or analyzed by the Service, including without limitation the International Building Code () and related I-Codes published by the International Code Council (ICC).
• "Output" means any report, analysis, compliance summary, recommendation, or other content generated by the Service based on User inputs.
• "AHJ" means Authority Having Jurisdiction, the organization, office, or individual responsible for enforcing the requirements of a code or standard in a given location.

2. Nature of the Service — Compliance Assistance Tool Only

2.1 Not Legal, Engineering, or Code Authority Advice
THE SERVICE IS A COMPLIANCE ASSISTANCE AND DOCUMENTATION TOOL ONLY. Code Compass is designed to help users organize and document building code analysis workflows. IT IS NOT A SUBSTITUTE FOR THE PROFESSIONAL JUDGMENT OF A LICENSED ARCHITECT, ENGINEER, FIRE PROTECTION ENGINEER, OR OTHER QUALIFIED DESIGN PROFESSIONAL, NOR FOR THE OFFICIAL INTERPRETATION OF ANY BUILDING CODE BY AN AHJ OR OTHER REGULATORY AUTHORITY.

2.2 Outputs Are Not Authoritative
All Outputs generated by the Service are provided for informational and organizational purposes only. No Output constitutes a legal opinion, an engineering determination, a code compliance certification, or an official interpretation of any building code or regulation. You are solely responsible for verifying the accuracy and applicability of any Output before relying on it for design, permitting, construction, or any other purpose.

2.3 Code Adoption and Local Amendments
Building codes vary by jurisdiction and are subject to local amendments, local adoption ordinances, and AHJ-specific interpretations. The Service may not reflect the specific version of a code adopted in your jurisdiction, amendments made by your jurisdiction, or the interpretive practices of your local AHJ. You are responsible for confirming which version and edition of any building code applies to your project.

2.4 ICC Codes and Third-Party Standards
The Service references and applies logic derived from International Codes (I-Codes) published by the International Code Council (ICC) and other standards organizations. Code Compass Corp. is not affiliated with, endorsed by, sponsored by, or approved by the ICC or any other standards body. Reference to I-Code section numbers and table data does not constitute reproduction of copyrighted materials and does not imply any licensing relationship with the ICC unless otherwise expressly stated.

3. License Grant and Restrictions

3.1 Limited License
Subject to your compliance with this Agreement and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business or professional purposes.

3.2 Restrictions
You may not:

• Reproduce, redistribute, sublicense, sell, or resell any portion of the Service or its Outputs as a standalone product or service;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
• Use the Service to build a competing product or service;
• Remove or alter any copyright, trademark, or proprietary notice displayed within the Service;
• Use automated means to scrape, crawl, or extract data from the Service without prior written consent.

4. User Responsibilities

You represent and warrant that:

• You have the professional qualifications, licenses, and expertise to interpret and apply building code requirements for your project;
• All project information and inputs you provide to the Service are accurate and complete to the best of your knowledge;
• You will independently verify all Outputs against applicable codes, local amendments, and AHJ requirements before submitting any documentation to a permitting authority;
• You will not represent any Output as an official code compliance determination or use it as a substitute for required plan review by a licensed professional or AHJ;
• Your use of the Service complies with all applicable laws, regulations, and professional licensing requirements in your jurisdiction.

5. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

• Any warranty that the Service or Outputs are accurate, complete, current, error-free, or suitable for any particular purpose;
• Any warranty that the Service reflects the version of any building code adopted in your jurisdiction or applicable to your project;
• Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
• Any warranty that the Service will be uninterrupted, timely, secure, or free from defects.

YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE AND ANY OUTPUTS GENERATED THEREBY.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODE COMPASS CORP., ITS FOUNDERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages;
• Any damages arising from errors, omissions, or inaccuracies in the Service or any Output;
• Any damages arising from your reliance on any Output for design, permitting, construction, or other purposes;
• Any damages arising from permit rejection, code violation findings, construction defects, structural failures, fire or life safety incidents, or regulatory enforcement actions;
• Loss of profits, revenue, business, data, goodwill, or anticipated savings;

WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

7. Indemnification and Hold Harmless

You agree to defend, indemnify, and hold harmless Code Compass Corp. and its founders, officers, employees, contractors, agents, successors, and assigns ("Indemnified Parties") from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of the Service or any Output;
• Any professional work, design decision, permit application, construction activity, or other action or omission taken in reliance on any Output;
• Your violation of this Agreement or any applicable law, regulation, or professional standard;
• Any claim by a third party (including a client, contractor, property owner, AHJ, or injured party) arising from your use of or reliance on the Service;
• Any misrepresentation of the Service's Outputs as authoritative, certified, or officially approved code compliance determinations;
• Your infringement of any third-party intellectual property rights in connection with your use of the Service.

The Indemnified Parties reserve the right, at their own expense, to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully with such defense.

8. Intellectual Property

8.1 Ownership of the Service

The Service, including without limitation all software code, source code, object code, algorithms, calculation logic, compliance workflows, decision trees, scoring methodologies, user interface design, visual design elements, data structures, databases, documentation, and all updates, modifications, and derivative works thereof, is the exclusive proprietary property of Code Compass Corp. and is protected by United States and international copyright, trade secret, patent, and other intellectual property laws. No rights in the Service are granted to you except the limited license expressly set forth in Section 3.

8.2 Proprietary Logic and Trade Secrets

The compliance analysis logic, calculation engines, code interpretation methodologies, and workflow structures underlying the Service constitute valuable trade secrets of Code Compass Corp. You acknowledge that this proprietary logic is not publicly disclosed and that maintaining its confidentiality is a material condition of your access to the Service. You agree not to disclose, describe, or publish any information about the internal operation or logic of the Service that is not already publicly known.

8.3 Prohibited Conduct

You agree that you will not, directly or indirectly, and will not permit or assist any third party to:

• Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive or reconstruct the source code, underlying logic, algorithms, or trade secrets of the Service by any means, including by observing, studying, or testing the Service's behavior in connection with its functions;
• Reproduce, refactor, rewrite, adapt, or create derivative works based on or substantially similar to the Service's logic, workflows, calculation methods, or compliance frameworks;
• Copy, replicate, or incorporate any portion of the Service's code, logic, or design into any other software, tool, product, or service;
• Use the Service to train, benchmark, or develop any artificial intelligence, machine learning model, or automated system intended to replicate or approximate the functionality of the Service;
• Use any robot, spider, scraper, automated tool, or other means to systematically extract, harvest, or index any data, content, or logic from the Service;
• Attempt to access any portion of the Service's backend systems, APIs, databases, or infrastructure that is not expressly made available to you;
• Remove, alter, obscure, or circumvent any technical protection measures, access controls, or security features of the Service.

8.4 Output Ownership

Outputs generated by the Service from your project inputs are provided to you for your internal professional use. You retain ownership of the project-specific data you input into the Service. However, the templates, structure, formatting, logic, and methodology embedded in or reflected by any Output remain the exclusive intellectual property of Code Compass Corp. You may not use any Output as a basis for developing a competing compliance tool or service.

8.5 Feedback

If you provide any suggestions, ideas, enhancement requests, recommendations, or other feedback regarding the Service ("Feedback"), you hereby assign to Code Compass Corp. all right, title, and interest in and to such Feedback, without any obligation of compensation or attribution. The Company may use Feedback for any purpose without restriction.

8.6 Enforcement

You acknowledge that any breach or threatened breach of this Section 8 would cause irreparable harm to Code Compass Corp. for which monetary damages would be an inadequate remedy, and that the Company is entitled to seek injunctive relief, without bond or other security, in addition to all other remedies available at law or in equity.

9. Third-Party Codes and Standards

The Service references content derived from building codes and standards published by third parties, including the International Code Council. All third-party code content, including section numbers, table references, and regulatory requirements, remains the property of the respective standards organization. Code Compass Corp. makes no claim of ownership over third-party code content and does not represent that its analysis constitutes an authorized reproduction or interpretation of any third-party standard.

The official text of any building code governs in all matters of regulatory compliance. In the event of any conflict between an Output and the official adopted code text, the official code text controls.

10. Modifications to This Agreement

The Company reserves the right to modify this Agreement at any time. Material changes will be communicated to you by email or by notice within the Service at least thirty (30) days before taking effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Agreement. If you do not agree to any modification, your sole remedy is to discontinue use of the Service and close your account.

11. Termination

The Company may suspend or terminate your access to the Service at any time, with or without cause, upon notice. You may terminate your account at any time by following the account closure process within the Service. Upon termination, your license to use the Service immediately ends. Sections 5, 6, 7, 8, and 12 survive termination of this Agreement.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Oklahoma, without regard to conflict of law principles. Any dispute arising under or relating to this Agreement shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in Oklahoma County, Oklahoma. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

13. General Provisions

• Entire Agreement: This Agreement constitutes the entire agreement between you and the Company with respect to the Service and supersedes all prior agreements and understandings.
• Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force and effect.
• No Waiver: Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement rights.
• Assignment: You may not assign your rights or obligations under this Agreement without prior written consent of the Company. The Company may assign this Agreement without restriction.
• Force Majeure: Neither party shall be liable for delays or failures in performance caused by circumstances beyond their reasonable control.
